Alliance Financing Group Inc. Appoints Mr. Stuart Williams,
President and CEO of Strategic Research Institute as a Director

Toronto, Ontario - July 31, 2001 - Alliance Financing Group Inc. (TSX-V symbol "AFG") is pleased to announce that Stuart Williams has been appointed to the Board of Directors at its recent annual and special meeting of shareholders.

Stuart Williams has served as the President and CEO of Strategic Research Institute since February 1993, a company that creates, produces and manages globally recognized conferences covering industry specific business-to-business topics. In addition to a BA degree in accounting, Mr. Williams holds an LL.B. degree.

At the annual and special meeting, the shareholders also approved the repricing of 100,000 options granted to Ian Bandeen, a director of the Corporation, from the original exercise price of $1.25, to an exercise price of $0.60.
